Practical governance for boards and the leaders who serve them
I work with boards and leadership teams across Canada to strengthen governance, align strategy, and navigate periods of transition, building practices that are practical, sustainable, and made to last.

Fostering effective governance and oversight
My work spans four connected areas: governance foundations, governance in practice, governance and strategy, and governance through change. Whether that means leading a governance review, providing fractional Corporate Secretary support, or guiding governance modernization, the focus stays the same: governance that is understood, applied, and sustained over time.

My approach to every engagement
Effective governance rests on clarity, composition, and communication: clear roles and accountability, the right people and perspectives around the table, and information shared thoughtfully enough that discussions stay constructive. I work alongside boards and management to translate governance thinking into practice, so the approaches we develop together can be understood, applied, and sustained long after the engagement ends.
Who I Work With
Board Chairs, Directors, CEOs, Executive Directors, and Corporate Secretaries each contribute to effective governance in different ways. Having served as an organizational leader, board chair, committee chair, governance advisor, and fractional Corporate Secretary, I understand those perspectives, and what it takes to help them work together well.
Chairs & Directors
Strengthening board effectiveness, clarifying roles and responsibilities, and building the practices that support productive discussion and sound decision-making.
CEOs & Executive Directors
Building strong governance practices, preparing governance-level information, and strengthening the working relationship between the executive and the board.
Corporate Secretaries & Governance Professionals
Working as a partner, advisor, or fractional resource, adding capacity while keeping governance systems practical, sustainable, and effective.

About me
I’m Tanya Gracie. Over the course of my career I’ve worked both with and within organizations across the public, non-profit, association, co-operative, and member-based sectors, and experienced governance as an executive leader, board chair, committee chair, and advisor. That range allows me to understand the realities facing both boards and management teams, and to bridge the space between governance theory and practical application.
